1. Agreement & Definitions

By using the Filinx website, AI tools, dashboard, or any service (“Services”), you enter into a binding agreement with Filinx. These Terms govern your use of our AI-powered company registration and compliances platform.

Key Definitions

  • “AI Tools”: The AI Form Assistant, entity recommendation engine, and automated validation features.
  • “Expert Review”: Review and filing by qualified CAs and CSs engaged by Filinx.
  • “Engagement”: Any paid service request for incorporation or related support.

2. Nature of Our Services

Filinx operates a technology platform that combines advanced AI with oversight from licensed professionals to help founders register companies, manage accounting, MCA filings and financial reportings quickly and accurately.

We are a technology facilitator, working in co-ordination with law firms and chartered accountancy firms. All AI suggestions and expert recommendations are for your consideration and help you make decisions. You remain fully responsible for all decisions and filings.

3. Your Responsibilities

You agree to:

  • Submit accurate and complete information and documents at all times.
  • Promptly respond to requests for additional information or approvals.
  • Carefully review every AI-generated draft and expert-reviewed document before final approval.
  • Understand that while our AI cross-verifies data with government databases in real time, these databases can occasionally contain errors or temporary inconsistencies.
  • Accept full responsibility for any government fees, stamp duties, penalties, or losses resulting from incomplete, inaccurate, or delayed information provided by you.

NRI & Foreign Founders: You are solely responsible for all additional documentation, FEMA compliance, and RBI requirements. Processing timelines may be longer.

4. AI-Powered Features – Specific Terms

Our AI tools provide smart entity recommendations, auto-fill forms, and real-time validation against government databases.

Important:

  • AI recommendations are assistive tools only and are always subject to final review by qualified professionals.
  • We do not guarantee that AI suggestions will result in name approval, successful registration, or optimal tax/compliance outcomes.
  • You may request full human review at any stage without additional charge.

5. Pricing & Payments

Prices quoted are exclusive of GST and government fees unless clearly stated. All government fees collected are remitted directly to the relevant authorities and are non-refundable once paid.

6. Refund & Cancellation Policy

6.1 48-Hour Full Refund Window

You are eligible for a full refund (less any payment gateway fees) if you cancel within 24 hours of payment, provided we have not yet commenced material work on your engagement (including AI processing or expert allocation).

6.2 Refunds After 24 Hours

Once material work has begun, we may still consider a refund on a fair and reasonable basis. The refund amount will be calculated after deducting:

  • All non-recoverable costs already incurred (government fees, DSC, third-party charges)
  • A reasonable administrative and processing fee (typically between 10–18% of the professional service fee)

6.3 Non-Refundable Items (Always)

  • Government fees and stamp duty
  • Digital Signature Certificate (DSC) charges
  • Any fees paid directly by you to third parties or banks
  • Services explicitly marked as non-refundable at the time of purchase

6.4 Quality or Service Issues

If you experience a genuine issue caused by Filinx (and not by government processing, your own document errors, or external factors), please raise it via the dashboard or email within 30 days of delivery. We will investigate promptly and may offer:

  • Complimentary rework, or
  • A partial refund or service credit (at our reasonable discretion)

6.5 Inactive Engagements

If you do not respond to our reasonable requests for information or approvals for 15 consecutive days, we may pause your engagement. After 45 days of continued inactivity, the engagement will be considered closed and no refund will be issued.

6.6 External Factors & Force Majeure

We are not responsible for, and will not issue refunds due to:

  • Delays or rejections by MCA, Trademark Office, GSTN, banks, or any government body
  • Name rejections (we provide up to three free resubmissions where possible)
  • Banking partner availability for introductions
  • Events beyond our reasonable control (natural disasters, regulatory changes, pandemics, etc.)

6.7 How to Request a Refund or Credit

Email admin@filinx.com with the subject “Refund/Credit Request – [Your Order ID]”. We will acknowledge within one working day and provide a decision within five working days. Approved refunds are processed to your original payment method within 7–14 working days.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Filinx and its team (including AI systems and engaged professionals) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business opportunities, data, or goodwill — even if advised of the possibility of such damages.

Our maximum liability for any claim arising from your use of the Services shall not exceed the total professional fees you actually paid for that specific engagement.

8. Data License & Intellectual Property

You grant Filinx a non-exclusive, royalty-free license to process, store, and use your submitted information (including through our AI systems) solely to deliver the Services, improve our platform, and generate anonymised insights.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved amicably. If unresolved, it shall be referred to binding arbitration seated in Bengaluru, Karnataka under the Arbitration and Conciliation Act, 1996. The courts in Bengaluru shall have exclusive jurisdiction over any matters not subject to arbitration.

10. Termination

We may suspend or terminate your access for material breach of these Terms. Provisions relating to liability, refunds, data, and governing law shall survive termination.
